Expert Corporate Administration and Management

  • In over 50 years of operation, IMS has formed thousands of companies on behalf of its clients. IMS has developed procedures and processes which enable it to arrange the registration of a Cayman company within 48 hours of receiving instructions provided all regulatory and compliance requirements are met.

    Our extensive expertise in incorporating a company in the Cayman Islands not only enables us to advise clients on the type of company which will meet their needs but also ensures that the formation process is quick and in full compliance with all regulations. ‍Under the Companies Act, all Cayman Islands companies must maintain a physical presence on the Islands via a registered office.

    At IMS we view this an integral part in the efficient and effective administration of a Cayman Company and as a consequence we have built up an experienced team of Corporate Administrators who are able to provide the highest level of service to our clients. ‍As registered office we typically provide the following: ‍​Provision of a Cayman Islands mailing address and a mail forwarding service

    • ​Submission of the company annual return to the Cayman Islands Registrar.
    • ​Maintenance of the statutory records of the company including the Register of Directors, the Register of Members and the Register of Mortgages & Charges.
    • ​​Provision of ad-hoc services as requested from time to time by our clients, such as the provision of tax certificates or certificates of good standing.
    • The display of the company name (as required by law).

  • To complement the provision of registered office services, we also offer our clients the full spectrum of company management services. This can play an important role in establishing the ‘mind and management’ of a company in the Cayman Islands. Many clients prefer this service as it allows them to concentrate on the growth aspects of their business whilst IMS takes care of all the administrative requirements. This may include but is not limited to:

    • The provision of corporate directors to non-operating companies such as holding companies.
    • Secretarial Services.
    • The provision of Nominee Shareholders.
    • Assistance with the preparation of financial accounts and with the audit process if required.
    • Introduction to and liaison with banking, legal, tax and accounting professionals from our vast network of professional contacts.

  • IMS can form and provide registered office, directors, supervisor and administrative services to Cayman Islands Foundation Companies. ‍​Cayman Foundations function like a foundation does in many civil law jurisdictions, but comes in the form and with the benefits of being a body corporate with a legal personality distinct from its members and directors and will have capacity to hold property etc. ‍​A Foundation brings a high level of flexibility for use, for example, as an alternative to a trust for succession planning and charitable/philanthropic purposes or asset protection; as a private trust company, to act as protector or enforcer or as special purpose “orphan” entity in finance and other transactions, such as for holding management shares of investment funds. They are prominently now used in Web3 and DeFi structures to ensure the ‘decentralized’ status of the project. ‍​Foundations also bring a good degree of confidentiality, as rights to information, such as reports and accounts, are limited to "interested persons" who are defined in the Law as any of its members or supervisors, someone with the right to be a member or supervisor or someone declared under the Foundation’s constitution to be an interested person. ‍The "firewall" provisions of the Cayman Trusts Law are extended to Foundations, giving protection against claims in foreign courts to the transfer of assets to the Foundation (depending on the circumstances).

  • IMS has registered many Exempted Limited Partnerships over the years. The procedures for formation are very similar to those for incorporation of a company. As with Cayman Companies, exempted Limited Partnerships must have a registered office in the Cayman Islands, which is a service we provide. An Exempted Limited Partnership is formed by means of a partnership agreement, which are registered in the Cayman Islands by way of a filing of the partnership agreement with the Registrar together with certain other documentation. There are also various continuing obligations that must be complied with, which we can assist with once the partnership is established.
